Terms of Service

1. Eligibility

1.1. You must be at least 13 years old to use Clinchr. Sign-up asks for your date of birth to check this; only an age band is kept, never the date (see our Privacy Policy). If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian who agrees to these Terms on your behalf.

1.2. By creating an account, you represent that the information you provide is accurate and that you meet the age requirement.

2. Accounts

2.1. You must create an account to use Clinchr. Accounts are personal and non-transferable.

2.2. You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account.

2.3. You agree to provide accurate information during registration and to keep your profile information up to date. You are solely responsible for the accuracy of all self-reported data, including fight records (wins, losses, draws).

2.4. During registration, you must accept these Terms and our Privacy Policy. The timestamp of your acceptance is recorded.

3. The Service

3.1. Clinchr is a boxing fitness social app where users can log workouts, join gyms, follow friends, climb leaderboards, earn achievements, and connect with coaches.

3.2. The App is provided "as is" and "as available." We do not guarantee uninterrupted access, uptime, or the accuracy of any data in the App, including gym information (some of which is sourced from Google Places).

3.3. We reserve the right to modify, suspend, or discontinue any features of the App at any time, with or without notice.

4. Free and Premium Features

4.1. Clinchr is free to use. Certain optional premium features are available as in-app purchases:

• Gym Premium (monthly subscription, per gym): Allows a user to claim ownership of an unclaimed gym and unlocks gym management features.
• Coach Premium (monthly subscription): Makes a coach profile visible in the coach directory.
• Gym listing (one-time purchase): Lists a new gym on Clinchr with you as its owner.

The current price, in your local currency, is shown in the App and by Apple or Google before you confirm any purchase.

4.2. Subscriptions are billed through Apple App Store or Google Play Store and renew automatically each month until you cancel them in your App Store or Google Play account settings. Cancellation and refund policies are governed by Apple's and Google's standard terms. A "Restore Purchases" option is available in Settings.

4.3. We reserve the right to modify subscription pricing. Changes will apply to new subscription periods and will not affect a current active billing cycle.

5. Gym Ownership & Claiming

5.1. Any member of an unclaimed gym may claim ownership by purchasing a Gym Premium subscription. Only one person may own a gym at a time. Once a gym is claimed, no other user can claim it.

5.1a. A user who adds a gym that is not yet on Clinchr may be given ownership of it for a limited period (currently 30 days) or a free Gym Premium trial, as shown in the App at the time. When a provisional ownership period ends without the gym being claimed, the gym becomes claimable by others.

5.2. Gym ownership grants the ability to: edit gym information (name, address, hours, photos), send push announcements to gym members (maximum 2 per week), post gym events, assign coaches, view page analytics, manage a member ban list, require approval for new members, set training challenges for the gym, add the gym's Instagram account, and maintain a gallery of up to 3 photos. Some of these features require an active Gym Premium subscription.

5.3. If a gym owner's premium subscription lapses, they retain ownership but lose access to premium features (analytics, announcements, events, coach management, gallery, and schedule editing).

5.4. Gym owners may ban or unban members from their gym. Banned users cannot rejoin the gym.

5.4a. A gym owner may require approval for new members. Joining such a gym sends the owner a request with your display name, username and profile photo; you become a member only once the owner accepts it.

5.5. Ownership disputes: If you are the real-world owner of a gym that has been claimed by another user, you may contact [email protected] with proof of ownership. We will review the dispute and may transfer ownership at our discretion. The previous claimant will not receive a refund for any premium time already used.

5.6. Gym owners must not abuse their position. Prohibited conduct includes unfair banning of members and publishing misleading announcements. Violations may result in revocation of gym ownership.

6. Coaches

6.1. Coach profiles display specialties, certifications, hourly rate, bio, and contact information (phone, website, Instagram). Without a Coach Premium subscription, coach profiles exist but are not listed in the coach directory.

6.2. Clinchr is not a booking platform. We provide exposure and directory listing only. No payments, scheduling, or bookings occur through the App.

6.3. Clinchr is not responsible for the quality, safety, accuracy, or legitimacy of any coaching services. All arrangements between coaches and students occur independently and at the parties' own risk.

6.4. Coach-student relationships: Coaches may invite friends as students, and users may request to become a student of a coach. Accepting a coaching relationship lets that coach view your training data — including your workout history (even workouts marked private), profile details, and body-weight (weigh-in) trends — through the coach dashboard, a free web app at coach.clinchr.app. Either party may end the relationship at any time without reason, which ends that access.

7. User-Generated Content

7.1. You retain ownership of all content you create in the App, including workout logs, photos, videos, and comments.

7.2. By using the App, you grant Clinchr a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content within the App as necessary to provide the service. This license ends when you delete the content or your account.

7.3. You are solely responsible for the content you post. You agree not to upload content that is illegal, harmful, abusive, defamatory, obscene, or that infringes on any third party's rights.

7.4. Uploaded images are compressed before storage (avatars: 400px wide; other images: 1200px wide; JPEG quality 75–80%). Videos are limited to 50MB.

7.5. All user content, including workout media, is permanently deleted when you delete your account.

8. Social Features & Sharing

8.1. Workouts can be shared publicly, with friends only, or kept private. Other users can view your display name, avatar, city, role, fight record, achievements, and gym memberships based on your visibility settings. If you make your profile private, people who are not your friends see only your profile header (photo, display name, username, gyms and badges) and can send you a friend request.

8.1a. If you tag friends in a workout, they can add a copy of it to their own log, including its photos and videos unless you switch that off for the workout. You may only tag people who actually trained with you.

8.2. Leaderboard rankings are visible to all members of a gym.

8.3. Workout, weekly, monthly and yearly share cards can be exported as images and shared outside the App. Once shared externally, Clinchr has no control over the distribution of that content.

8.4. Blocking a user prevents them from seeing your content in feeds and leaderboards. However, existing interactions (past comments, kudos) are not retroactively deleted.

8.5. Gyms may run training challenges. Challenge rankings are public on clinchr.app and include your display name, profile photo and hours trained. Only public workouts with valid proof (for example a QR or NFC check-in at the gym, or a photo or video) count. You can opt out of all rankings in Settings. Gym owners may set their own challenges for their gym, for example counting only one type of workout.

8.6. Clinchr may send you training reminder emails about your own use of the App (for example when you have not logged a workout for a while). They are on by default for users aged 18 or older and are never sent to users we know to be under 18. You can turn them off at any time in Settings or with the unsubscribe link in every reminder. See our Privacy Policy for details.

9. Referral System

9.1. Users receive a unique referral code. When a new user signs up with a referral code, both parties are recorded in the referral system.

9.2. The referrer can see the display name, username, avatar, and join date of users they referred.

10. Prohibited Conduct

10.1. You agree not to:

• Harass, bully, threaten, or intimidate other users
• Send spam or unsolicited messages
• Create fake accounts or impersonate another person
• Post illegal, harmful, or offensive content
• Abuse the reporting or blocking system (e.g., filing false reports)
• Abuse gym owner powers (unfair banning, misleading announcements)
• Attempt to circumvent rate limits or safety measures
• Fake check-ins or proof, or otherwise manipulate leaderboards or challenge rankings
• Use the App for any unlawful purpose
• Reverse-engineer, decompile, or attempt to extract the source code of the App

11. Content Moderation & Enforcement

11.1. Users can report workouts, comments, other users, and coach profiles. Reports are reviewed by administrators who may resolve, dismiss, or take action on them.

11.2. Clinchr reserves the right to: suspend or terminate accounts for violations of these Terms, revoke gym ownership, remove user content, and restrict access to features — at our sole discretion and without prior notice.

12. Rate Limits

12.1. To maintain platform integrity and prevent abuse, the following rate limits apply: maximum 50 workouts per day, maximum 30 comments per hour, maximum 10 reports per day, maximum 2 gym announcements per week, maximum 3 gym memberships for boxers and 5 for coaches, and file size limits of 5MB for avatars, 5MB for gym photos, 10MB for workout images, and 50MB for workout videos.

13. Intellectual Property

13.1. The Clinchr name, logo, design, and all associated intellectual property are owned by Clinchr. You may not use our trademarks without prior written permission.

13.2. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

14. Disclaimers

14.1. Clinchr is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14.2. We do not guarantee the accuracy of gym data (including data sourced from Google Places), user-reported fight records, coach qualifications, or any other user-generated content.

14.3. Clinchr is a fitness tracking and social platform, not a medical or professional training service. Consult a qualified professional before beginning any exercise program.

14.4. Use of the App for boxing and combat sports activities is at your own risk. Clinchr is not liable for any injuries sustained during training.

15. Limitation of Liability

15.1. To the maximum extent permitted by applicable law, Clinchr and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or personal injury, arising from or related to your use of the App.

15.2. Clinchr is not liable for interactions between users, coaches, and gym owners that occur outside the App.

15.3. Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid to Clinchr in the 12 months preceding the claim, or €100, whichever is greater.

16. Indemnification

16.1. You agree to indemnify and hold harmless Clinchr and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.

17. Termination

17.1. You may delete your account at any time from Settings. Account deletion permanently removes all your data as described in our Privacy Policy.

17.2. We may suspend or terminate your account at any time for violation of these Terms, without prior notice and without liability to you.

17.3. Upon termination, your license to use the App is immediately revoked.

18. Governing Law & Dispute Resolution

18.1. These Terms are governed by the laws of the Netherlands.

18.2. Any disputes arising from or related to these Terms or the App shall be submitted to the exclusive jurisdiction of the courts of the Netherlands.

18.3. If you are an EU consumer, you retain any mandatory consumer protection rights granted by the laws of your country of residence.

19. Changes to These Terms

19.1. We may update these Terms from time to time. When we make material changes, we will notify you through the App or by other appropriate means.

19.2. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App and delete your account.

20. Severability

20.1. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
